1. Acceptance of Terms

By accessing or using the Staff Helm website and submitting your information through our early access registration form, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our website or submit your information.

2. Description of Service

Staff Helm is developing an emergency dispatch automation service for temporary staffing agencies ("Service"). The Service aims to provide:

• Automated SMS dispatch to your existing standby pool
• Emergency fill coverage for worker no-shows
• Auto-confirmation and response tracking
• Real-time GPS verification and tracking
• SMS-based communication systems

2.1 Pilot Program Status

The Service is currently in pilot program validation phase and is NOT yet operational. By registering for early access, you are:

• Expressing interest in the Service once it becomes available
• Reserving a spot for priority access during the pilot launch (planned March 2025)
• Agreeing to be contacted about the pilot program and Service development

3. No Binding Commitment

IMPORTANT: Registration for early access does NOT create any binding obligation on either party. Specifically:

• You are not obligated to use the Service when it launches
• Staff Helm is not obligated to provide the Service to you
• No payment is required for early access registration
• You may cancel your registration at any time by emailing hello@staffhelm.com
• Staff Helm may modify, delay, or cancel the pilot program at any time

4. Future Service Agreement and Pricing

If and when the Service becomes operational, use of the Service will be governed by a separate Service Agreement that will include:

• Detailed service level agreements (SLAs)
• Pricing and payment terms (currently showing 3 tiers: Starter at $997/month, Professional at $2,997/month, and Enterprise with custom pricing)
• Liability limitations and indemnification
• Insurance requirements
• Worker vetting and qualification standards
• Termination and cancellation policies

Important: The pricing shown on our website is indicative pilot pricing and may change before launch. You will have the opportunity to review final pricing and accept a Service Agreement before using the Service. If you don't like the final terms or pricing, you can simply walk away - zero obligation.

5. Information You Provide

By submitting the early access registration form, you represent and warrant that:

• All information you provide is accurate, current, and complete
• You have the authority to register on behalf of the company/agency you represent
• Your email address is valid and you consent to receive communications from Staff Helm
• You are at least 18 years of age and legally capable of entering into binding contracts

6. Use of Information

Information you provide will be used to:

• Contact you about the pilot program and Service development
• Assess market demand and validate the business model
• Determine pilot program eligibility and priority
• Send updates about Service availability and features

7. No Warranties or Guarantees

The website and any information provided are offered "AS IS" without warranties of any kind. Staff Helm makes no warranties or guarantees regarding:

• The availability, timing, or features of the future Service
• The accuracy of performance metrics or statistics shown on the website
• The success or effectiveness of the Service if it becomes operational
• Your acceptance into the pilot program

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Staff Helm shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the website or registration for early access
• Staff Helm's total liability shall not exceed $100
• These limitations apply even if Staff Helm has been advised of the possibility of such damages

9. Intellectual Property

All content on the Staff Helm website, including but not limited to text, graphics, logos, designs, and software, is the property of Staff Helm or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, or distribute website content without permission
• Use Staff Helm's name, logo, or trademarks without authorization
• Reverse engineer or attempt to extract source code from the website

10. Communications and Marketing

By registering for early access, you consent to receive:

• Email communications about the pilot program
• Updates about Service development and launch timeline
• Marketing materials related to Staff Helm services

You may opt out of marketing communications at any time by:

• Clicking the "unsubscribe" link in any email
• Emailing hello@staffhelm.com with your opt-out request

11. Modifications to Terms

Staff Helm reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting to the website. Your continued use of the website after changes are posted constitutes acceptance of the modified Terms. We will make reasonable efforts to notify registered users of material changes via email.

12. Termination

Staff Helm may terminate or suspend your access to the website at any time, with or without cause or notice. Upon termination, you must cease all use of the website.

13. Third-Party Services

The website may contain links to third-party websites or services. Staff Helm is not responsible for:

• The content or practices of third-party websites
• Any damages or losses caused by third-party services
• The privacy practices of third parties

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, without regard to its conflict of law provisions.

14.1 Informal Resolution

Before filing any claim, you agree to contact Staff Helm at hello@staffhelm.com to attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith.

14.2 Arbitration

Any dispute arising out of or relating to these Terms or your use of the website shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall take place in New Mexico. Each party shall bear its own costs and fees.

14.3 Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between you and Staff Helm individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Staff Helm regarding use of the website and supersede any prior agreements or understandings.
